TERMS OF USE

These Terms of Use ("Agreement" or "Terms") are entered into by and between BROKER MEDIA SOCIAL S.A. DE C.V., operating under the trade name BMS Publishing, a company organized and existing under the laws of Mexico, with registered offices located at 2362 José María Morelos, Ahome, Sinaloa, C.P. 81236, Mexico ("BMS Publishing," "we," "our," or "us"), and you ("you," "your," or "User").

This Agreement governs your access to and use of the BMS Publishing website located at http://www.bmspublishing.ai, including any subdomains, platforms, applications, or services made available by BMS Publishing (collectively, the "Site").

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional agreements incorporated by reference. If you do not agree, you must not use the Site.

BMS Publishing reserves the right to amend, update, or otherwise modify these Terms at any time in its sole discretion, without prior notice. Continued use of the Site after the posting of amended Terms constitutes acceptance of the revisions.

1. ELIGIBILITY

1.1 The Site is offered and made available only to individuals who are 13 years of age or older. By using the Site, you represent and warrant that you are of legal age to form a binding contract under applicable law in your jurisdiction.

1.2 If you are using the Site on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind such entity to these Terms, and in such case, the terms "you" and "your" shall refer to such entity.

2. OWNERSHIP AND INTELLECTUAL PROPERTY

2.1 All rights, title, and interest in and to the Site and all materials, information, text, images, audio, video, design, software, source code, databases, and other content made available therein (collectively, the "Content") are owned by BMS Publishing or its licensors, and are protected under applicable copyright, trademark, and other intellectual property laws.

2.2 Except as expressly permitted by these Terms, no license or right is granted to you with respect to the Content. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content without the prior written consent of BMS Publishing.

2.3 Unauthorized use of the Content constitutes a breach of these Terms and may subject you to civil and/or criminal liability.

3. USER CONTRIBUTIONS

3.1 The Site may provide interactive features that allow users to submit, upload, transmit, or otherwise provide content, information, or materials (collectively, "User Contributions").

3.2 By submitting User Contributions, you hereby grant BMS Publishing, its affiliates, licensees, and service providers an irrevocable, perpetual, worldwide, royalty-free, transferable license to use, reproduce, distribute, display, perform, adapt, modify, and otherwise exploit such User Contributions for any lawful purpose.

3.3 You represent and warrant that:

• (a) You own or control all rights in and to the User Contributions;
• (b) Your User Contributions do not infringe or violate the rights of any third party;
• (c) Your User Contributions comply with applicable laws and these Terms.

3.4 BMS Publishing assumes no responsibility for User Contributions and expressly disclaims liability for any claims arising from such content.

4. PROHIBITED USES

You agree not to use the Site in any manner that:

• (a) Violates any applicable law, regulation, or treaty;
• (b) Exploits, harms, or attempts to exploit or harm minors;
• (c) Engages in transmission of unsolicited promotional material, spam, or chain letters;
• (d) Impersonates BMS Publishing, its employees, or any other person or entity;
• (e) Attempts to gain unauthorized access to any systems or networks connected to the Site;
• (f) Introduces malicious software including viruses, worms, or trojan horses;
• (g) Interferes with the proper operation of the Site;
• (h) Engages in conduct that, in BMS Publishing's sole discretion, restricts or inhibits other users from using or enjoying the Site.

5. DISCLAIMER OF WARRANTIES

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BMS PUBLISHING DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.

BMS PUBLISHING DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF MALICIOUS COMPONENTS.

6. LIMITATION OF LIABILITY

6.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BMS PUBLISHING, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE.

6.2 IN ALL CASES, BMS PUBLISHING'S TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED USD $100.

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BMS Publishing, its officers, directors, shareholders, employees, affiliates, licensors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including attorneys' fees) arising out of or relating to:

• (a) Your violation of these Terms;
• (b) Your User Contributions; or
• (c) Your use of the Site.

8. COPYRIGHT INFRINGEMENT

BMS Publishing respects the intellectual property rights of others. If you believe that any material available on the Site infringes your copyright, you must provide written notice containing the following:

• (a) Your physical or electronic signature;
• (b) Identification of the copyrighted work claimed to be infringed;
• (c) Identification of the allegedly infringing material and its location;
• (d) Your contact details (address, telephone, and email);
• (e) A statement of good faith belief that the disputed use is unauthorized;
• (f) A statement, under penalty of perjury, that the information provided is accurate and that you are authorized to act on behalf of the copyright owner.

9. PRIVACY

All data collected through the Site is subject to our Privacy Policy, which forms an integral part of these Terms. By using the Site, you consent to the processing of your personal data in accordance with the Privacy Policy.

10. RESTRICTED PERSONS

You represent and warrant that you are not a "Restricted Person," meaning you are not:

• (a) subject to any sanctions administered by the United States Office of Foreign Assets Control (OFAC), the European Union, the United Nations, or other applicable authority;
• (b) located in, or a resident of, any jurisdiction subject to trade embargoes, including but not limited to Cuba, Iran, North Korea, Syria, Venezuela, or Crimea.

Use of the Site in violation of applicable sanctions laws is strictly prohibited.

11. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of Mexico, without regard to conflict-of-law provisions.

Any dispute, controversy, or claim arising out of or relating to this Agreement shall be submitted to the exclusive jurisdiction of the competent courts of Sinaloa, Mexico.

12. MISCELLANEOUS

12.1 Entire Agreement – These Terms, together with the Privacy Policy, constitute the entire agreement between you and BMS Publishing regarding use of the Site.

12.2 Severability – If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Waiver – Failure by BMS Publishing to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

12.4 Assignment – You may not assign or transfer your rights or obligations under these Terms without prior written consent. BMS Publishing may freely assign its rights without restriction.
